Sidecar Terms and Conditions

Please read these Terms and Conditions ("Agreement") carefully before accessing or using Sidecar’s membership services, participating in events, engaging with our communities, or visiting our websites. This Agreement sets forth the legally binding terms and conditions for your use of our services. By accessing or using our services, you agree to be bound by this Agreement.

Membership

Paid Members

1.1 Paid Membership Benefits: Paid members of Sidecar receive exclusive benefits, which may include access to premium content, special discounts, priority event registration, personalized support, and other perks outlined in the membership plan.

1.2 Payment Terms: Paid memberships require the payment of a specified fee, either as a one-time payment or recurring subscription, as determined by the membership plan chosen. By becoming a paid member, you agree to pay the applicable fees according to the selected payment schedule.

1.3 Payment Authorization: By providing payment information, such as credit card details or other payment methods, you authorize Sidecar to charge the agreed-upon fees for the membership plan. You agree that Sidecar may store and use this information to process payments and renewals.

1.4 Subscription Renewal: For recurring subscription memberships, your membership will automatically renew at the end of each subscription period unless you cancel your membership prior to the renewal date. Renewal fees will be charged to the payment method on file, unless updated by you.

1.5 Cancellation and Refunds: You may cancel your paid membership at any time by following the designated cancellation process provided by Sidecar. Refunds for paid memberships are subject to the terms and conditions outlined in our Refund Policy, if applicable.

Subscribers

2.1 Subscriber Benefits: Sidecar offers a free subscription option for individuals who wish to access certain limited content or receive basic updates and communications from Sidecar. Subscribers may not have access to the full range of benefits and premium content available to paid members.

2.2 Subscriber Communications: By subscribing to Sidecar's free subscription option, you acknowledge and consent to receive periodic communications, newsletters, and updates related to Sidecar's activities, events, and other relevant information. You can unsubscribe from these communications at any time by following the unsubscribe instructions provided in the communication.2.3 Conversion to Paid Membership: Subscribers may have the opportunity to upgrade their subscription to a paid membership, gaining access to additional benefits and premium content. The terms and conditions, including payment terms and benefits, will be provided during the upgrade process.

Termination or Suspension

3.1 Sidecar reserves the right to terminate or suspend a member's account or subscription, with or without cause, at any time and with or without prior notice. Such actions may result from any violation, as determined by Sidecar, of these Terms and Conditions, Code of Conduct, Copyright Policy, or any other policies or guidelines established by Sidecar.

3.2 Termination or suspension may result in the loss of access to membership benefits, content, and community features associated with Sidecar's services. No refunds or compensation will be provided for terminated or suspended memberships, except as expressly stated in our refund policy.

Modifications to Membership Terms

4.1 Sidecar reserves the right to modify, update, or discontinue membership plans, benefits, fees, or any other aspect of the membership program at any time. Notice of any material changes to these Membership Terms, or to any Code, Policy or Guideline referenced herein, will be provided to members through appropriate communication channels, such as email or website notifications.

4.2 By continuing to use Sidecar's membership services following any modifications as noted in section 4.1, you acknowledge and accept the updated membership terms.

Please note that Sidecar may have additional terms and conditions specific to the membership program, which will be provided to you at the time of registration or during the membership enrollment process.

By becoming a paid member or subscriber of Sidecar, you acknowledge that you have read, understood, and agreed to abide by the membership terms and any associated policies or guidelines.

Events

Attendees

5.1 Registration and Attendance: By registering and attending Sidecar events, you agree to comply with the registration process, including providing accurate and complete information. Sidecar reserves the right to refuse or revoke your attendance of any event for any reason.

5.2 Event Conduct: Attendees are expected to behave respectfully and professionally towards other attendees, speakers, staff, and event materials. Any form of harassment, discrimination, or disruptive behavior will not be tolerated and may result in immediate removal from the event premises or virtual platform. No refunds or compensation will be provided to persons removed from events or platforms, except as expressly stated in our refund policy.

5.3 Cancellation Policy: Each Sidecar event may have its own specific cancellation policy. It is the responsibility of the attendees to review and understand the cancellation policy applicable to the event for which they have registered. Cancellation requests must be submitted in accordance with the specified policy, and refunds, if applicable, will be provided based on the terms outlined in the cancellation policy.

Sponsors

6.1 Sponsorship Agreements: Sponsors participating in Sidecar events are subject to separate sponsorship agreements, outlining specific terms, benefits, and obligations. The terms and conditions of the sponsorship agreement govern the relationship between Sidecar and the sponsor.

6.2 Representations and Promotions: Sponsors represent and warrant that their products, services, and promotional activities comply with applicable laws and regulations. Any promotional materials provided by sponsors must meet Sidecar's guidelines and be approved in advance.

Speakers

7.1 Speaker Agreements: Speakers participating in Sidecar events are subject to separate speaker agreements, which outline specific terms, expectations, and compensation, if applicable. The terms and conditions of the speaker agreement govern the relationship between Sidecar and the speaker.

7.2 Content Ownership: Speakers retain ownership of the intellectual property rights in their presentations and materials. By participating as a speaker, speakers grant Sidecar a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display their presentation materials for promotional and educational purposes related to the event.

Event Materials and Recordings

8.1 Event Materials: All materials provided or distributed during Sidecar events, including presentations, handouts, and digital resources, are protected by copyright laws. Attendees, sponsors, and speakers may not reproduce, distribute, modify, or create derivative works of event materials without explicit permission from Sidecar or the respective copyright owners.

8.2 Recordings: Sidecar may record event sessions, including presentations, panel discussions, and workshops, in various formats (audio, video, or both) for documentation, promotional, or educational purposes. By participating in the event, attendees, sponsors, and speakers consent to being recorded and acknowledge that their voice, image, or likeness may be captured in these recordings.

Release, Hold Harmless, and Indemnity

9.1 Release and Hold Harmless: Attendees, sponsors, and speakers release and hold harmless Sidecar, its owners, shareholders, and affiliates, and each of their officers, employees, volunteers, agents, and insurance carriers, from any claims, damages, liabilities, or expenses including reasonable legal fees and costs, arising from participation in Sidecar events, including but not limited to personal injury, property damage, or loss of any kind.

9.2 Indemnity: Attendees, sponsors, and speakers agree to indemnify and defend Sidecar, its owners, shareholders, and affiliates, and each of their officers, employees, volunteers, agents, and insurance carriers, from and against any claims, demands, damages, liabilities, or expenses, including reasonable legal fees and costs, arising from their participation in Sidecar events or any breach of these terms and conditions.

Using Voice, Image, or Likeness for Marketing Purposes

10.1 By participating in Sidecar events, attendees, sponsors, and speakers grant Sidecar the right to use their voice, image, or likeness captured during the events for marketing, promotional, or educational purposes. This includes, but is not limited to, the use of photographs, videos, or testimonials on Sidecar's websites, social media channels, newsletters, and other marketing materials.

Please note that each Sidecar event may have additional terms and conditions specific to the event, which will be provided to attendees, sponsors, and speakers during the registration or enrollment process.

By participating in Sidecar events, you acknowledge that you have read, understood, and agreed to abide by the event terms and any associated policies or guidelines.

Community

Purpose of the Community

11.1 The Sidecar community serves as a platform for like-minded individuals to connect, share knowledge, collaborate, and engage in discussions related to the association management profession.

11.2 The community is designed to foster a supportive, inclusive, and respectful environment where members can contribute constructively, exchange ideas, and build professional relationships.

Participation

12.1 Participation in the Sidecar community is open to individuals who share an interest in association management. Members are required to provide accurate and up-to-date information during the registration process.

12.2 Guidelines and Code of Conduct: All community members are expected to abide by the community guidelines and code of conduct, which outline the expected behavior, respectful communication, and appropriate content sharing within the community. Violations of these guidelines may result in disciplinary actions, including warnings, temporary suspension, or permanent removal from the community.

Community Features and Activities

13.1 Discussion Forums: The community may provide discussion forums where members can initiate and participate in conversations, ask questions, seek advice, and share insights related to the community's focus. Members are encouraged to engage in meaningful discussions, provide helpful information, and maintain a positive and inclusive atmosphere.

13.2 Networking Opportunities: Sidecar may organize networking events, meetups, or virtual sessions for community members to connect, network, and establish professional relationships. These events aim to facilitate collaboration, knowledge sharing, and the growth of the community.

13.3 Resource Sharing: The community may offer resources such as articles, blog posts, webinars, or educational materials relevant to the community's focus. These resources are intended to enhance members' knowledge, skills, and understanding of the subject matter.

User-Generated Content

14.1 Members may have the opportunity to share user-generated content within the community, such as articles, presentations, or other creative works. By sharing such content, members agree that they have the legal right to share such content, and members grant Sidecar a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the content within the community and for promotional purposes related to the community.

14.2 Sidecar does not endorse or guarantee the accuracy, completeness, or reliability of user-generated content. Members are solely responsible for the content they share, ensuring it complies with applicable laws, respects intellectual property rights, and aligns with the community guidelines.

Moderator and Administration Rights

15.1 Sidecar reserves the right to appoint community moderators or administrators to oversee community activities, enforce the guidelines and code of conduct, and make decisions regarding content moderation, user access, or disciplinary actions when necessary.

Liability and Indemnification

16.1 Sidecar does not assume any liability for the user-generated content or interactions that occur within the community. Members are individually responsible for their actions, contributions, and interactions within the community.

16.2 By participating in the Sidecar community, members agree to indemnify and hold Sidecar, its owners, shareholders, and affiliates, and each of their officers, employees, agents, and insurance carriers, harmless from any claims, damages, liabilities, or expenses, including reasonable legal fees and costs, arising from their use of the community, including any violations of the community guidelines or code of conduct.

Changes to Community Guidelines and Code of Conduct

17.1 Sidecar reserves the right to modify or update the community guidelines and code of conduct at any time. Notice of any material changes will be provided to community members through appropriate communication channels. Continued use of the community after such changes constitutes acceptance of the revised guidelines and code of conduct.

Please note that Sidecar may have additional terms and conditions specific to the community, which will be provided to members during the registration process.

By participating in the Sidecar community, you acknowledge that you have read, understood, and agreed to abide by the community guidelines, code of conduct, and any associated policies or guidelines.

Website

18.1 Website Usage: You may access and use our websites only in accordance with this Agreement. You agree not to engage in any activity that may disrupt or interfere with the proper functioning of our websites or compromise their security.

18.2 Intellectual Property: All content on our websites, including text, graphics, logos, images, and software, is protected by intellectual property laws and remains the property of our organization. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Disclaimer of Liability

5.1 Limitation of Liability: To the maximum extent permitted by law, our organization, its affiliates, employees, and representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services, events, communities, or websites.

Miscellaneous

19.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of laws principles.

19.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 Entire Agreement: This Agreement constitutes the entire agreement between you and our organization regarding the subject matter herein and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

By accessing or using our membership services, participating in events, engaging with our communities, or visiting our websites, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of this Agreement, please refrain from using our services.

Privacy Policy

At Sidecar, we are committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your personal information when you interact with our services, including our websites, membership, events, and communities. By using our services, you consent to the collection and use of your personal information as described in this Privacy Policy.

Information We Collect

20.1 Personal Information: When you interact with our services, we may collect personal information that can identify you, such as your name, company, job role, title, job level, company vertical, email address, postal address, phone number, date of birth, credit card and/or bank numbers and other contact details. We collect this information when you register for membership, subscribe to our newsletters, participate in events, or engage with our communities.

20.2 Usage and Tracking Information: We may collect information about your interactions with our services, including the pages you visit, the links you click, and the features you access. We may also collect specific information related to the areas of interest that you provide and/or groups that you join. This information helps us analyze trends, track user behavior, and improve our services. We may use cookies, web beacons, and similar tracking technologies to collect this information.

21.1 We use the collected information to provide and improve our services, personalize your experience, communicate with you, process transactions, and respond to your inquiries and requests.

21.4 Your personal information will be stored by Sidecar in the United States. Sidecar will retain the information only for as long as is reasonably necessary to perform the services described in these terms and conditions.

21.5 You have the right to access, correct and update your personal information to assure its accuracy. You may request that such information be corrected or updated by writing to Sidecar, which can be found via Sidecar’s website at www.sidecarglobal.com.

22.1 We implement commercially reasonable security measures to protect your personal information from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security of your data.

This Code of Conduct outlines the behavior and expectations we uphold within our organization. By participating in our membership services, events, communities, or visiting our websites, you agree to abide by this Code of Conduct.

Respectful Behavior

26.1 Treat others with respect, kindness, and courtesy. Do not engage in discriminatory, offensive, or harassing behavior, including but not limited to discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or age.

26.2 Listen actively and considerately to others, valuing diverse perspectives and experiences.

26.3 Refrain from engaging in personal attacks, derogatory language, or any form of behavior that creates an unsafe or hostile environment.

Inclusive Environment

27.1 Embrace diversity and promote inclusivity within our community. Foster an environment that welcomes individuals from all backgrounds and perspectives.

27.2 Avoid making assumptions or generalizations about others based on their personal characteristics. Respect individual identities and use preferred pronouns and names.

27.3 Be mindful of the impact of your words and actions on others, ensuring they do not contribute to exclusion or marginalization.

Prohibited Conduct

28.1 Harassment: Harassment in any form, including but not limited to sexual harassment, verbal abuse, stalking, or unwanted advances, is strictly prohibited.

28.2 Discrimination: Discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or age is not tolerated.

28.4 Disruptive Behavior: Disruptive behavior, such as excessive trolling, spamming, or deliberately causing disturbances, is not permitted.

Differential for In-Person Events

29.1 Personal Conduct: When participating in in-person events, please adhere to the specific guidelines and policies provided by our organization to ensure the safety and well-being of all attendees. Respect the physical boundaries and personal space of others.

29.2 Hygiene and Health: Maintain good personal hygiene and follow any health and safety protocols in place, such as handwashing, wearing appropriate attire, or complying with vaccination requirements, if applicable.

29.3 Venue Rules: Comply with the rules and regulations set forth by the event venue, including any restrictions on smoking, alcohol consumption, or behavior that may be disruptive or illegal.

Differential for Virtual Events

30.1 Online Etiquette: Practice good online etiquette when participating in virtual events. Use respectful language, avoid disruptive behavior, and be mindful of the impact of your audio and video presence on others.

30.2 Privacy and Consent: Obtain explicit consent before recording, sharing, or disseminating any content or conversations from virtual events. Respect the privacy and confidentiality of participants.

30.3 Technology Use: Use technology and online platforms responsibly during virtual events. Do not engage in hacking, data breaches, or any unauthorized activities that compromise the security or privacy of others.

Reporting Violations

31.1 If you witness or experience any violations of this Code of Conduct, please report it to the designated event or community organizers or contact our organization directly. We will promptly investigate the matter and take appropriate actions.

Enforcement

32.1 Violations of this Code of Conduct may result in disciplinary action, including but not limited to warnings, temporary or permanent bans, or legal consequences, depending on the severity of the offense.

By participating in our membership services, events, communities, or visiting our websites, you acknowledge that you have read, understood, and agreed to abide by this Code of Conduct. We reserve the right to modify or update this Code of Conduct at any time.

Copyright Policy

We respect the intellectual property rights of others and expect our members, event participants, community members, and website visitors to do the same. This Copyright Policy outlines our approach to copyright infringement. By accessing or using our membership services, participating in events, engaging with our communities, or visiting our websites, you agree to comply with this Copyright Policy.

Intellectual Property Rights

33.1 Respect for Copyright: We acknowledge and respect the copyrights and intellectual property rights of others. It is our policy to respond promptly to any claims of copyright infringement.

33.2 Ownership of Content: Unless otherwise specified, all content provided by our organization, including text, graphics, logos, images, and software, is protected by copyright laws and remains the property of our organization or its respective owners.

Copyright Infringement Notification

· Contacting the alleged infringer and providing an opportunity to respond.

· Taking legal action or seeking remedies as required by law.

35.2 Counter Notification: If you believe that your content was wrongly removed or disabled due to a copyright infringement claim, you may submit a counter notification in writing, including the following information:

· Identification of the material that has been removed or disabled and its location.

· A statement, under penalty of perjury, that you have a good-faith belief that the material was removed or disabled because of mistake or misidentification.

· Sufficient contact information to allow us to reach you, such as your name, address, telephone number, and email address.

· A statement that you consent to the jurisdiction of the appropriate court for the district where you reside (or where the content is located if you are outside the United States) and that you will accept service of process from the person who provided the copyright infringement notification or their agent.
